An Act to Continue the United Way of Halifax Region
as a Not-for-profit Corporation under
the Canada Not-for-profit Corporations Act
and to Repeal Chapter 73 of the Acts of 1972,
An Act to incorporate
The Halifax-Dartmouth United Appeal

WHEREAS the institution now known as the "United Way of Halifax Region" was incorporated by Chapter 73 of the Acts of 1972 as "The Halifax-Dartmouth United Appeal" and was renamed by Chapter 72 of the Acts of 1975 as the "United Way of Halifax-Dartmouth Metro Area", by Chapter 73 of the Acts of 1989 as the "Metro United Way" and by Chapter 21 of the Acts of 2004 as the "United Way of Halifax Region";

AND WHEREAS the United Way of Halifax Region is desirous of being continued as a not-for-profit corporation under the Canada Not-for-profit Corporations Act;

THEREFORE be it enacted by the Governor and Assembly as follows:

1 This Act may be cited as the United Way of Halifax Region Continuation Act.

2 In this Act,

"Corporation" means the body corporate constituted by Chapter 73 of the Acts of 1972, An Act to incorporate The Halifax-Dartmouth United Appeal;

"Director" means the Director appointed under the Canada Not-for-profit Corporations Act;

"Not-for-profit Corporation" means the United Way of Halifax Region continued as a not-for-profit corporation under the Canada Not-for-profit Corporations Act.

3 (1) The Corporation may, in accordance with the Canada Not-for-profit Corporations Act, subscribe to and transmit articles of continuance, with the bylaws of the Not-for-profit Corporation for the administration of the Not-for-profit Corporation, and the proper fees to the Director, together with a list of the directors, stating their full names, addresses and occupations and the period for which they will so act, the address of the registered office of the Not-for-profit Corporation and the place where its activities will be chiefly carried on.

(2) Upon the Director issuing, in accordance with the Canada Not-for-profit Corporations Act, a certificate of continuance in respect of the Not-for-profit Corporation, the Corporation is continued as a not-for-profit corporation under the Canada Not-for-profit Corporations Act under the name "United Way of Halifax Region" and the Not-for-profit Corporation is deemed to have been incorporated pursuant to that Act.

(3) For greater certainty, the Not-for-profit Corporation may, notwithstanding subsection (2), change its name in accordance with the Canada Not-for-profit Corporations Act.

4 Upon continuation of the Corporation as the Not-for-profit Corporation, a reference in any enactment or any document, including any deed, lease, will, trust or indenture, to The Halifax-Dartmouth United Appeal, the United Way of Halifax-Dartmouth Metro Area, the Metro United Way or the United Way of Halifax Region is, as regards any subsequent transaction, matter or thing, a reference to the Not-for-profit Corporation.

5 No rights, duties, obligations or liabilities of the Corporation are in any way affected by the continuation of the Corporation as the Not-for-profit Corporation, and those rights, duties, obligations and liabilities continue to be vested in and are binding upon the Not-for-profit Corporation.

6 Upon

(a) continuation of the Corporation as the Not-for-profit Corporation; and

(b) written notice to the Chief Clerk of the House of Assembly respecting the continuation,

Chapter 73 of the Acts of 1972 is repealed.
