An Act to Permit Virtual Business Meetings

Explanatory Note

This Bill amends the Companies Act, the Condominium Act, the Co-operative Associations Act and the Societies Act to allow for the holding of virtual or a hybrid of virtual and in-person meetings.

An Act to Permit Virtual Business Meetings

Be it enacted by the Governor and Assembly as follows:

1 Chapter 81 of the Revised Statutes, 1989, the Companies Act, is amended by

(a) renumbering Section 85A as 85AA; and

(b) adding immediately after Section 85 the following Section:

    85A Subject to any regulations in the articles or the by-laws of a company, a general meeting under Section 83 or a special meeting under Section 84 may be held entirely or partially by telephonic or electronic means and a member who, through those means, votes at the meeting or establishes a communications link to the meeting is deemed, for the purpose of this Act, to be present at the meeting.

2 Section 85AA of Chapter 81, as enacted by Chapter 15 of the Acts of 1990 and renumbered as Section 85A by this Act, is further amended by striking out "85A" in the first line and substituting "85AA".

3 Section 123 of Chapter 81, as enacted by Chapter 15 of the Acts of 1990, is amended by striking out "85A" in the third line of clause (b) and substituting "85AA".

4 Section 124 of Chapter 81, as enacted by Chapter 15 of the Acts of 1990, is amended by striking out "85A" in the fourth line of clause (b) and substituting "85AA".

5 Chapter 85 of the Revised Statutes, 1989, the Condominium Act, is amended by adding immediately after Section 14A the following Section:

    14AA Subject to the corporation's declaration and by-laws, a meeting of the members of a corporation may be held entirely or partially by telephonic or electronic means and a member who, through those means, votes at the meeting or establishes a communications link to the meeting is deemed, for the purpose of this Act, to be present at the meeting.

6 Chapter 98 of the Revised Statutes, 1989, the Co-operative Associations Act, is amended by adding immediately after Section 30 the following Section:

    30A Subject to the association's articles and by-laws, an organizational, annual or special meeting of an association may be held entirely or partially by telephonic or electronic means and a member who, through those means, votes at the meeting or establishes a communications link to the meeting is deemed, for the purpose of this Act, to be present at the meeting.

7 Chapter 435 of the Revised Statutes, 1989, the Societies Act, is amended by adding immediately after Section 15 the following Section:

    15A Subject to the society's by-laws, a meeting of a society may be held entirely or partially by telephonic or electronic means and a member who, through those means, votes at the meeting or establishes a communications link to the meeting is deemed, for the purpose of this Act, to be present at the meeting.
