An Act to Incorporate the
University College of Cape Breton Student Union
Be it enacted by the Governor and Assembly as follows:
1 This Act may be cited as the University College of Cape Breton Student Union Act.
2 In this Act,
(a) "by-laws" means the by-laws of the Union;
(b) "Council" means the Council of Students;
(c) "unincorporated Union" means the unincorporated body known as the University College of Cape Breton Student Union;
(d) "Union" means the University College of Cape Breton Student Union incorporated by this Act.
3 There is hereby constituted a body corporate to be known as the University College of Cape Breton Student Union.
4 The membership of the Union consists of
(a) each person who was, immediately before the coming into force of this Act, a member of the unincorporated Union; and
(b) each person who becomes a member of the Union in accordance with the by-laws,
as long as that person remains a member of the Union.
5 The objects of the Union are to
(a) promote artistic, literary, educational, social, recreational, charitable and sporting activities for the advancement of the interests of its members and others;
(b) act as the official organization of the students of the University College of Cape Breton;
(c) co-ordinate, promote and direct, consistently with the Canadian Charter of Rights and Freedom, the Criminal Code (Canada) and the Human Rights Act, the activities of the students of University College of Cape Breton.
6 The Union may exercise such powers and engage in such activities as are necessary or conducive to the attainment of its objects and the exercise of its powers and, without restricting the generality of the foregoing, may
(a) take and hold by purchase, grant, lease, gift, donation, devise, legacy or bequest, real and personal property;
(b) sell, lease, mortgage or otherwise dispose of any such real or personal property;
(c) invest or otherwise use any money received by the Union;
(d) enter into arrangements with any authority, governmental, municipal, local or otherwise, that may seem conducive to the attainment of the objects of the Union or any of them, and obtain from any such authority any rights, privileges and concessions that the Union may receive and may think desirable to obtain, and carry out, exercise or comply with any such arrangements, rights, privileges and concessions;
(e) erect, maintain, improve, repair and otherwise deal with any building;
(f) borrow money and secure repayment of the same by any form of debenture, bond, mortgage, promissory note or other security and, without restricting the generality of the foregoing, make and issue debentures or bonds and secure the repayment of the same by deed of trust and mortgage;
(g) raise money by all suitable means;
(h) by its President or Vice-president and Treasurer, make and execute under its corporate seal any instrument relating to its real and personal property including, without restricting the generality of the foregoing, any deed, lease or mortgage;
(i) make by-laws not inconsistent with this Act or any law of the Province relating to
(ii) the election of officers of the Union and the Council and the election and appointment of members of the Council,
(iii) the convening and holding of meetings of the Union and the Council,
(iv) the government and discipline of the members involved in activities of the Union,
(v) the appointment of employees of the Union and the Council,
(vi) the fixing and collecting of annual and other fees,
(vii) the conduct, control and management of the affairs of the Union.
7 (1) There shall be a Council of Students.
(2) The Council shall be elected or appointed from the members of the Union in accordance with the by-laws.
(3) The Council may, subject to the by-laws,
(a) exercise the powers of the Union;
(b) appoint committees and delegate to committees such powers and duties as may be deemed necessary or desirable and may make rules and regulations relating to the performance of its functions and the exercise of its powers.
8 (1) The officers, immediately before the coming into force of this Act, of the unincorporated Union are the officers of the Union until officers are elected pursuant to the by-laws.
(2) The by-laws of the unincorporated Union in force immediately before the coming into force of this Act are the by-laws of the Union until amended pursuant to this Act.
9 (1) All the right, title or interest in property that is, immediately before the coming into force of this Act, beneficially owned by the unincorporated Union is vested in the Union.
(2) All the liabilities and obligations that were, immediately before the coming into force of this Act, the liabilities and obligations of the unincorporated Union are the obligations and liabilities of the Union.
(3) The unincorporated Union is dissolved.
