An Act Respecting Rainbow Haven
Be it enacted by the Governor and Assembly as follows:
1 This Act may be cited as the Rainbow Haven Act.
2 In this Act,
(a) "Corporation" means Rainbow Haven, Limited,
incorporated by Chapter 186 of the Acts of 1921, An Act to
Incorporate Rainbow Haven, Limited;
(b) "Registrar" has the same meaning as in the Societies
Act.
3 Any five members of the Corporation may apply to the
Registrar to continue the Corporation as a society under the
Societies Act under a name other than Rainbow Haven, Limited
by transmitting to the Registrar the same documents and fees
that they would be required by Section 5 of that Act to transmit
to the Registrar if those persons were proceeding to incorporate
a society under that name pursuant to the Societies Act.
4 (1) Where the Registrar is satisfied that
(a) the memorandum and by-laws transmitted pursuant to
Section 3 comply with the Societies Act;
(b) the objects of the corporation, as set out in the
memorandum, are within the scope of the Societies Act and
are sufficiently set forth; and
(c) the name set out in the memorandum under which the
corporation is to be continued is not identical with that of
any subsisting company, society or association,
incorporated or unincorporated, does not so nearly
resemble such a name as to be calculated to deceive and is
not objectionable for any other reason,
the Registrar shall register the memorandum and by-laws and
issue a certificate that the Corporation is incorporated under
that name as a society under the Societies Act.
(2) A certificate issued pursuant to subsection (1) is conclusive
evidence that the requirements of this Act in respect of
continuing the Corporation as a society within the meaning of
the Societies Act under the name contained in the memorandum
transmitted to the Registrar have been complied with and that
the Corporation is continued, under that name, as a society
under the Societies Act.
(3) When a certificate is issued pursuant to subsection (1),
(a) the Corporation is continued, as a body corporate and
as a society within the meaning of the Societies Act, under
the name set out in the memorandum transmitted to the
Registrar pursuant to this Act and is a society under that
name for all purposes, including all purposes of the
Societies Act, as if it were incorporated under that name
pursuant to that Act;
(b) any reference to Rainbow Haven, Limited in any
enactment,or in any document, including any conveyance,
contract or will, shall, as regards any subsequent
transaction, matter or thing, be read as a reference to the
Corporation by the name under which it is continued
pursuant to this Act; and
(c) Chapter 186 is repealed.
