An Act to Continue Victoria Hall
as a Society under the Societies Act
and to Repeal Chapter 115
of the Acts of 1937,
An Act to Amend and Consolidate
the Acts Relating to the Old Ladies Home
WHEREAS the institution now known as Victoria Hall was incorporated by Chapter 75 of the Acts of 1867 and Chapter 115 of the Acts of 1894 as "The Home for the Aged" and was renamed by Chapter 228 of the Acts of 1906 and incorporated by Chapter 115 of the Acts of 1937 as "The Old Ladies Home";
AND WHEREAS the name of the institution was changed on March 3, 1970, to "Victoria Hall" by Order in Council 70-208 pursuant to the Companies Change of Name Act;
AND WHEREAS Victoria Hall is desirous of being continued as a society under the Societies Act;
THEREFORE be it enacted by the Governor and Assembly as follows:
1 This Act may be cited as the Victoria Hall Continuation Act.
(a) "Corporation" means the body corporate constituted and continued by Chapter 115 of the Acts of 1937, An Act to Amend and Consolidate the Acts Relating to the Old Ladies Home;
(b) "Registrar" means the Registrar of Joint Stock Companies;
(c) "Society" means the Victoria Hall Society.
3 (1) The Corporation may, in accordance with the Societies Act, subscribe to and transmit a memorandum of association, with the by-laws of the Society for the administration of the Society, and the proper fees to the Registrar, together with a list of the directors, stating their full names, addresses and occupations and the period for which they will so act, the address of the registered office of the Society and the place where its activities will be chiefly carried on.
(2) Upon the Registrar issuing, in accordance with the Societies Act, a certificate of incorporation in respect of the Society or on January 1, 2015, whichever is later, the Corporation is continued as a society under the Societies Act under the name "Victoria Hall Society" and the Society is deemed to have been incorporated pursuant to that Act.
(3) For greater certainty, the Society may, notwithstanding subsection (2), change its name in accordance with the Societies Act.
4 Upon continuation of the Corporation as the Society, a reference in any enactment or any document, including any deed, lease, will, trust or indenture, to The Home for the Aged, The Old Ladies Home or Victoria Hall is, as regards any subsequent transaction, matter or thing, a reference to the Society.
5 No rights, duties, obligations or liabilities of the Corporation are in any way affected by the continuation of the Corporation as the Society, and those rights, duties, obligations and liabilities continue to be vested in and are binding upon the Society.
6 (1) Section 8 of Chapter 115 of the Acts of 1937 is amended by striking out "116" in the second line and substituting "115".
(2) Upon continuation of the Corporation as the Society, Chapter 115 is repealed.
7 Subsection 6(1) has effect on and after April 17, 1937.
