Explanatory Notes

Clause 1 gives the Act a short title.

Clause 2 replaces the association of business and professional men of the Town of Lunenburg and vicinity in a social club as an object of the Club and replaces it, as an object of the Club, with the association of persons in a social club.

Clause 3

(a) replaces a provision that authorizes the President and Secretary of the Club to execute conveyances on behalf of the Club with a provision that authorizes the execution of conveyances by such officers as are authorized to do so by the by-laws or by a resolution of the Club; and

(b) replaces a provision that restricts the manner in which the Club may raise money to the giving of entertainments and the sale of refreshment with a provision that enables the Club to raise money for purposes of the Club.

Clause 4

(a) adds the directors to the class of persons who are not liable for the debts or liabilities of the Club;

(b) replaces a reference in the Act to "entrance fees" with a reference to "initiation fees"; and

(c) removes a reference to Section 10 of the Act which is necessary because of the repeal of Section 10 of the Act by Clause 8.

Clause 5 changes a cross-reference which is necessary as a result of the amendment made by clause 1.

Clause 6 enables the Club to make by-laws

(a) establishing different categories of membership and different criteria for admission to each category of membership;

(b) designating the date, time and place of annual general meetings of the members of the Club; and

(c) imposing fees on its membership other than initiation and membership fees.

Clause 7

(a) substitutes a reference to entrance fees with a reference to initiation fees; and

(b) transfers the power to enforce Club regulations and by-laws from the officers and committees of the Club to its Board of Directors.

Clause 8 removes a provision that requires that the annual meeting of the Club be held on the third Tuesday of February.

Clause 9 removes a provision that enabled the Club to assess its members to meet any financial difficulties that may arise or deficiencies that may occur and for any sums as may be necessary or expedient for its purposes.

An Act to Amend Chapter 135
of the Acts of 1930,
An Act to Incorporate the Bluenose Club

Be it enacted by the Governor and Assembly as follows:

1 Chapter 135 of the Acts of 1930, An Act to Incorporate the Bluenose Club, is amended by renumbering Section 1 as 1A and adding immediately before Section 1A the following Section:

1 This Act may be cited as the Bluenose Club Act.

2 Section 2 of Chapter 135 is amended by striking out "in a social club of business and professional men of the town of Lunenburg and vicinity" in the second and third lines and substituting "of persons in a social club".

3 Section 3 of Chapter 135 is amended by

(a) striking out "its president and secretary" in the third line of clause (b) and substituting "such officers who are authorized to do so by a by-law or by a resolution of the club"; and

(b) striking out "by giving entertainments and the sale of refreshments" in the second line of clause (c).

4 Section 4 of Chapter 135 is amended by

(a) adding ", director" immediately after "member" in the first line;

(b) striking out "entrance" in the third line and substituting "initiation"; and

(c) striking out all that portion of the Section immediately following "therefor" in the fifth line to the end of the Section and substituting a period.

5 Section 5 of Chapter 135 is amended by striking out "1" in the first line and substituting "1A".

6 Section 6 of Chapter 135 is amended by

(a) adding "with power to establish two or more categories of membership and to prescribe different qualifications for admission to each category of membership and also with power to establish classes of applicants for membership in the club and to provide earlier admission to membership for one or more classes than for any other class or classes" immediately after "club" in the fifth line;

(b) adding ", including initiation and membership fees and such other fees as may be set by the Board of Directors of the club" immediately after "members" in the sixth line; and

(c) adding ", the date, time and place of the annual general meeting of the club"immediately after "premises" in the seventh line.

7 Section 7 of Chapter 135 is amended by

(a) striking out "entrance" in the second line and substituting "initiation"; and

(b) striking out "officers and/or committees" in the sixth line and substituting "Board of Directors".

8 Section 9 of Chapter 135 is repealed.

9 Section 10 of Chapter 135 is repealed.
