An Act to Amend Chapter 113
of the Acts of 1965,
An Act to Incorporate the
Centennial Arena Commission

Be it enacted by the Governor and Assembly as follows:

1 Chapter 113 of the Acts of 1965, An Act to Incorporate the Centennial Arena Commission, is amended by renumbering Section 1 as 1A and adding immediately before Section 1A the following Section:

1 This Act may be cited as the Centennial Arena Commission Act.
2 Chapter 113 is further amended by adding immediately after Section 1A the following Section:
1B In this Act,

(a) "by-law" means a by-law of the Commission;

(b) "directors" means the directors of the Commission;

(c) "Districts 15 and 16" means polling district 15, Fairview-Clayton Park and polling district 16, Prince's Lodge-Clayton Park West of the Halifax Regional Municipality.

3 Section 2 of Chapter 113 is amended by

(a) striking out clause (a) and substituting the following clause:

(a) to construct, equip, operate, maintain and manage one or more rinks to serve the citizens of the Halifax Regional Municipality and in particular those of Districts 15 and 16;
(b) striking out "of said suburban districts" in the third and fourth lines of clause (b); and

(c) striking out "in said suburban districts and elsewhere" in the eighth and ninth lines of clause (b).

4 Section 4 of Chapter 113 is repealed and the following Sections substituted:

4 (1) There shall be at least seven directors of the Commission, elected at each annual meeting of the Commission.

(2) No person is qualified to be a director unless that person is a resident of the Halifax Regional Municipality.

(3) Notwithstanding subsection (2), at least two thirds of the directors shall be residents of Districts 15 and 16.

(4) Notwithstanding subsection (1), where, by reason of persons ceasing to be directors before the expiration of their terms of office, the number of directors is less than seven, the remaining directors may, at a meeting called for the purpose in accordance with the by-laws, elect directors to fill the vacancies for the remainder of the terms of office.

(5) Where a vacancy occurs in an office of the Commission, the directors may, at a meeting called for that purpose, fill the vacancy.

(6) For greater certainty, an election that is held or an appointment that is made pursuant to subsection (4) or (5) is not invalid by reason only that fewer than seven directors voted in the election or made the appointment.

4A There shall be an Executive of the Commission consisting of the President, Vice-president, Secretary and Treasurer of the Commission elected from the directors in accordance with the by-laws.

4B (1) The general administration of the Commission is vested in the directors.

(2) The directors may delegate all or part of the general administration of the Commission to the Executive of the Commission.

5 Sections 6 and 7 of Chapter 113 are repealed and the following Section substituted:
6 (1) An annual general meeting of the Commission shall be held within three months after the end of each fiscal year of the Commission and notice of the time and place of the meeting shall be published at least once, not later than thirty days prior to the date of the meeting, in a newspaper published in the Halifax Regional Municipality.

(2) A special general meeting of the Commission may be called by the directors and notice of the time, place and purpose of the meeting shall be published at least once, not later than thirty days prior to the date of the meeting, in a newspaper published in the Halifax Regional Municipality.

6 Section 8 of Chapter 113 is amended by striking out "Management Committee" in the seventh line and substituting "directors".

7 (1) Subsection 9(2) of Chapter 113 is amended by striking out "members of the Management Committee" in the third and fourth lines and substituting "directors".

(2) Subsection 9(3) of Chapter 113 is amended by striking out "Management Committee" in the first line and substituting "directors".

8 Sections 11 and 12 of Chapter 113 are repealed and the following Sections substituted:

11 Upon request, the books of account, registers and records of the Commission shall be made available for inspection by any officer of the Halifax Regional Municipality at all reasonable times.

12 The Commission may be dissolved by resolution duly passed at a special general meeting of the Commission.

9 Section 13 of Chapter 113 is amended by

(a) striking out "Municipality of the County of Halifax" in the third and fourth lines of Section 13 and substituting "Halifax Regional Municipality";

(b) striking out "Municipal Council" in the fifth line of Section 13 and substituting "Council of the Halifax Regional Municipality";

(c) striking out "Municipality" in the tenth, in the fifteenth and in the twenty-second line of Section 13 and substituting in each case "Halifax Regional Municipality"; and

(d) striking out "the suburban districts of Armdale, Fairview and Rockingham" in the last two lines of Section 13 and substituting "Districts 15 and 16".

10 Sections 14 and 15 of Chapter 113 are repealed.
