An Act to Incorporate

the Antiochian Maronite

Catholic Church Corporation





Be it enacted by the Governor and Assembly as follows:

1 This Act may be cited as the Antiochian Maronite Catholic Church Corporation Act.

2 In this Act,

(a) "Church" means the unincorporated body known as the Antiochian Maronite Catholic Church in Nova Scotia;

(b) "Corporation" means the Antiochian Maronite Catholic Church Corporation.

3 (1) There is hereby established a body corporate to be known as the Antiochian Maronite Catholic Church Corporation.

(2) The members of the Corporation are Msgr Kheirallah Aoukar, Dr Elie Chater and Wadih Jabbour and such other persons who, from time to time, become members of the Corporation in accordance with the by-laws of the Corporation, as long as they remain members of the Corporation.

4 The objects of the Corporation are to hold real property in trust for the Church and to manage such real property for and on behalf of the Church.

5 The Corporation may exercise all powers that are necessary or conducive to attaining its objects and, without restricting the generality of the foregoing, may

(a) acquire by way of grant, gift, purchase, bequest, devise or otherwise, real property and any interest therein and hold, possess and enjoy the property for the general uses and purposes of the Corporation;

(b) with the consent of at least two thirds of those persons who, according to the by-laws of the Corporation, are the members of the Church, sell, convey, assign, release, mortgage, lease, dispose of or deal with its property or any part thereof, or any interest therein;

(c) erect, manage, maintain and develop buildings and structures;

(d) with the consent of two thirds of those persons who, according to the by-laws of the Corporation, are the members of the Church,

(i) borrow money, (ii) mortgage such property of the Corporation as the Corporation may determine for the purpose of securing repayment of money borrowed for the purpose;

(e) make by-laws, not inconsistent with this Act, for its internal management and, without restricting the generality of the foregoing, make by-laws

(i) in respect of the admission and removal of persons as members of the Corporation,

(ii) in respect of the conduct and duties of the officers and employees, if any, of the Corporation,

(iii) in respect of the method of calling meetings of the Corporation and the conduct of business at such meetings,

(iv) in respect of the order and proceedings at such meetings,

(v) in respect of the fiscal year of the Corporation,

(vi) defining who are members of the Church for the purpose of this Section.

6 No grant, deed, gift, devise or bequest to the Corporation is void, in whole or in part, on account of any error in the name of the Corporation if the intention of the grantor, donor or testator is beyond reasonable doubt.

7 (1) All real property which, immediately before the coming into force of this Act, is vested in Antiochiam Maronite Catholic Church Incorporated or is otherwise held in trust for the Church is vested in the Corporation.

(2) Any obligation or liability of Antiochiam Maronite Catholic Church Incorporated or the Church, existing immediately before the coming into force of this Act, is, on and after the coming into force of this Act, also an obligation or liability, as the case may be, of the Corporation.

8 All deeds, leases, mortgages, releases and other conveyances of the property of the Corporation shall be executed by and on behalf of the Corporation under its corporate seal by those persons authorized to do so by the by-laws of the Corporation.

9 A gift or devise of real property to the Church or to the Antiochiam Maronite Catholic Church Incorporated shall be construed as a gift, devise or bequest to the Corporation.
